1. Acceptance of Terms

By accessing and using HOA Haven ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

HOA Haven is provided by HOA Haven, Inc. ("we," "us," or "our"). These Terms of Service govern your access to and use of our website, software, and services.

2. Description of Service

HOA Haven provides cloud-based software for homeowners associations (HOAs) and condominium associations to manage their operations, including but not limited to:

• Automated dues collection and payment processing
• Violation management and tracking
• Architectural request submissions and approvals
• Resident portals and communication tools
• Board member dashboards and administrative tools
• AI-powered features for document analysis and generation

3. Account Registration

To use HOA Haven, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. User Roles and Permissions

HOA Haven supports different user roles with varying levels of access:

• Board Members/Admins: Full access to HOA management features
• Residents: Access to resident portal, payments, and request submissions

You are responsible for ensuring that users within your HOA have appropriate role assignments and permissions.

5. Payment Terms

5.1 Subscription Fees

HOA Haven offers multiple subscription tiers based on unit count:

• Starter: $49/month for HOAs with 0-50 units
• Professional: $99/month for HOAs with 51-150 units
• Business: $199/month for HOAs with 151-300 units
• Enterprise: $299/month for HOAs with 301-500 units

All plans include a 14-day free trial. Subscription fees are billed monthly in advance and are non-refundable.

5.2 Transaction Fees

A 2.5% transaction fee applies to all payments processed through the platform (dues, fines, etc.). This fee covers payment processing costs and platform usage.

5.3 Payment Processing

All payment processing is handled securely through Stripe. By using our payment features, you also agree to Stripe's Terms of Service and Privacy Policy.

6. Acceptable Use

You agree not to use HOA Haven to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload or transmit viruses, malware, or other malicious code
• Harass, abuse, or harm other users
• Collect or store personal data about other users without permission
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any fraudulent or illegal purpose

7. Content and Data

7.1 Your Content

You retain all rights to any content you submit, post, or display on or through the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, and display Your Content solely for the purpose of providing and improving the Service.

7.2 Data Backup

While we implement regular backup procedures, you are responsible for maintaining your own backups of Your Content. We are not liable for any loss or corruption of Your Content.

8. AI Features

HOA Haven uses artificial intelligence (Claude AI by Anthropic) to provide certain features, including violation photo analysis and letter generation. You acknowledge that:

• AI-generated content should be reviewed before use
• AI analysis may not always be accurate or complete
• You are responsible for final decisions and communications
• AI features are provided "as is" without warranties

9. Privacy and Data Security

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

We implement industry-standard security measures to protect your data, including encryption, secure data storage, and regular security audits.

10. Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of HOA Haven and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue until the end of your current billing period.

Upon termination, your right to use the Service will immediately cease. We may delete Your Content after termination. We recommend exporting your data before canceling.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from using the Service will be accurate or reliable.

13. Limitation of Liability

IN NO EVENT SHALL HOA HAVEN, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless HOA Haven and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before the new terms take effect.

By continuing to use the Service after revisions become effective, you agree to be bound by the revised terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
